Acceptance of Terms

By accessing, browsing, or using the VIA Agentic website (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, our Privacy Policy, and all applicable laws and regulations. This agreement constitutes a legally binding contract between you and VIA Agentic, a division of VIA Communication.

Important: If you do not agree to any part of these terms, you are strictly prohibited from using the Site and must cease all use immediately.

SMS Terms and Compliance

Program Description: VIA Agentic operates a specialized mobile messaging program aimed at improving customer communication. This program transmits critical project updates, urgent appointment confirmations, and direct customer support responses to clients who have actively engaged our services or submitted inquiries via our digital contact forms.
Verified Opt-in: Explicit consent is a prerequisite for enrollment. Consent is collected exclusively through our online forms featuring a dedicated checkbox, unchecked by default, for SMS notifications. By checking this box, you provide your express written signature to receive automated and manual text messages.
Cancellation and Opt-out: You retain the right to withdraw your consent at any time. To cancel the SMS service, send the keyword "STOP" to the number from which you receive the messages. Upon receipt of your request, we will send a one-time SMS to confirm your unsubscription.
Support and Help: If you encounter technical difficulties, reply "HELP" to one of our messages for automated assistance, or write to support@viaagentic.ca.
Rates and Frequency: Message and data rates may apply according to your mobile carrier plan. Message frequency varies based on your level of service usage, project milestones, and the frequency of your support requests.
Carrier Responsibility: Mobile carriers operate independently and are not responsible for delays, undelivered messages, or misdirected messages.

Intellectual Property Rights

The Site and all of its original content — including text, source code, logos, proprietary graphics, and software — are the exclusive property of VIA Agentic / VIA Communication and are protected by international copyright, trademark, and other intellectual property laws.

Limited License: We grant you a personal, non-exclusive, non-transferable, and revocable license to access and use the Site for personal, non-commercial purposes.
Strict Restrictions: You are strictly prohibited from modifying, copying, reproducing, republishing, uploading, or distributing any content from this Site in any format without express prior written authorization from the President of VIA Communication. Any unauthorized use may result in the immediate termination of your license and legal action.

User Conduct and Submitted Content

By submitting, posting, or transmitting any content to VIA Agentic through the Site or by email, you represent and warrant that you own the rights to that content. You hereby grant VIA Agentic a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, and distribute such content as necessary for the provision of our services and the improvement of the customer experience.

Disclaimer and "As Is" Clause

The information, products, and professional services offered through the Site are provided "as is" and "as available", without any warranties of any kind, either express or implied. VIA Agentic does not warrant that the Site will operate without interruption, that it will be virus-free, or that any defects will be corrected.

Furthermore, we decline all responsibility for the content, privacy policies, or reliability of any third-party website that may be linked to or from ours.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall VIA Agentic, VIA Communication, their partners, or affiliates be held liable for any indirect, incidental, special, or consequential damages — including, without limitation, loss of data, loss of business profits, or business interruption — arising out of the use or inability to use the content of the Site, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless VIA Agentic, VIA Communication, their officers (including the President, François Beaudry), their directors, and their employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • your use of the Site;
  • your violation of these terms;
  • your infringement of the intellectual property rights of others.

Termination of Access

We reserve the right, at our sole discretion, to terminate or suspend your access to the Site or the SMS messaging program without notice or liability. Such action may be taken when we believe your conduct violates these terms, harms other users, or is contrary to the commercial interests of VIA Agentic. Upon termination, your right to use the Service ends immediately.

Age Restriction (18+)

Reserved for 18 years and older. The Site and services offered by VIA Agentic are intended only for users aged eighteen (18) years or older. By using the Site, you confirm that you meet this requirement. If you are under 18, you are strictly prohibited from using the Site.

Governing Law and Jurisdiction

These Terms of Use and any dispute arising from your use of the Site are governed by and construed in accordance with the laws of the province and country where VIA Communication conducts its primary business. Any legal action or proceeding related to the Site must be brought exclusively before the courts of that jurisdiction.
